A diversified alternatives AMC
EAAA India Alternatives, incorporated in 2008, is a prominent alternatives platform in India, managing long-term patient capital with an AUM of Rs 95344.88 crore at end June 2026. Its key business verticals are real assets investing in a combination of equity, quasi-equity, and debt, and private credit, focusing on debt or convertible debt instruments for superior returns. The wholly owned subsidiary, Sekura India Management, supports various operational aspects of these verticals, offering expertise in operations, maintenance, and turnaround management.

The fee-paying AUM (FPAUM) reached Rs 48623.18 crore at end June 2026, experiencing a CAGR of 23.43% over the past three financial years. The company has successfully raised capital commitments aggregating Rs 47526.25 crore and deployed Rs 38229.4 crore, achieving strong investment realizations of Rs 31232.94 crore during last three years, highlighting its capability to maintain client trust and performance across market cycles.

The real assets vertical focus on low-risk infrastructure and commercial real estate investments with a current management of 10 active funds amounting to Rs 28039.91 crore in FPAUM (57.67% of total FPAUM). Its sub-verticals include infrastructure yield, commercial real estate yield, perpetual capital, and energy transition.

The private credit vertical offers credit solutions across various risk levels, managing 16 active funds worth Rs 19272.42 crore (39.64% of total FPAUM) at end June 2026.

Other businesses include portfolio management services (PMS) and other offerings, with combined FPAUM of Rs 1310.85 crore.

EAAA has developed a strong global and diverse client base of 11009 relationships by end June 2026, with 77% of AUM from repeat clients. The composition includes 49.32% of institutional clients such as pension funds and insurance companies, and the remaining from UHNIs, HNIs, and family offices. The established presence in Mumbai, New Delhi, GIFT City, and Singapore enhances client coverage across North America, Europe, and Asia.

The income comes from management and advisory fees accounting for 60.08% of total income in FY26, variable additional returns (30.14%) linked to fund performance, and General Partner (GP) income (8.3%) from co-investments.

Offer and the objects

The initial public offer (IPO) consists entirely of an offer for sale from the promoter, Edelweiss Securities and Investments, to raise Rs 1200 crore through issuance of 0.76 crore equity shares at the lower band of Rs 1585 per share (face value Rs 5 per share) and 0.72 crore equity shares at the upper band of Rs 1665 per share. The promoter shareholding in the company declines to 83.88% post- IPO from 95.03% pre-IPO. The issue is to be made through the book-building process and will open on 26 October 2026 and will close on 28 October 2026.

Strengths

Over 17 years of investment experience, providing an established presence in India?s real assets and private credit markets. Established fundraising capabilities across multiple fund series and vintages, supported by diversified investment strategies.

The Indian real assets and private credit market is rapidly expanding, showing substantial growth potential due to low market penetration. Combined AUM in private credit and real assets more than doubled between 2015 and 2025 and is projected to reach US$112.9 billion by 2030, growing at an expected CAGR of 16-18%. These segments are expected to account for 42% of India?s alternative investments industry by 2030, compared with 33% in 2025.

Diversified investment strategies and established flagship verticals. A diversified product suite supports deeper engagement with existing clients and expansion of the investor base.

Enhanced revenue stability and resilience through diversification across sectors, strategies and revenue streams, supported by consistent fund performance.

A diversified client base, established institutional relationships, robust governance standards and an extensive distribution network position to deepen existing relationships, attract new investors and scale capital commitments across domestic and international markets.

Strong institutional investor support, demonstrated by EIB Global?s commitment of up to US$ 60 million to the India Energy Transition Fund.

A technology-enabled operating platform enhances scalability, operational efficiency, data integrity and risk management, supporting improved client servicing, and sustainable business growth.

Sekura?s integrated operating platform combines experienced personnel, standardized processes and technology-led asset management to enhance operational efficiency, mitigate risks and support long-term value creation across real assets and private credit investments.

A comprehensive risk management framework combining independent due diligence, continuous monitoring, technology-enabled controls and institutional governance supports disciplined investment decisions, early risk identification and long-term portfolio protection.

Weaknesses

Adverse changes in fund performance, fee arrangements or market conditions could reduce management and advisory fees, GP Income and Variable Additional Return, resulting in lower Total Income and profitability.

Growth is subject to execution capabilities, client retention, market conditions, regulatory changes and international expansion risks.

Variable Additional Return, accounting for 30% of income in FY26, is recognized after a minimum of three years from a fund?s initial close, subject to fund performance achieving at least 1.25 times the specified hurdle rate and applicable accounting requirements.

Most fund investments are illiquid and lack readily ascertainable market prices, requiring fair value estimates based on assumptions and valuation models. The subjective nature of valuing illiquid investment creates a risk of material valuation differences, potential investment losses, reduced fee income and challenges in future fundraising.

Dependence on non-exclusive distribution relationships exposes to fundraising, margin, compliance and reputational risks.

The private credit vertical is exposed to regulatory changes enabling banks and NBFCs to offer competing products.

Private credit investments are typically long-term, illiquid, and involve complex financing structures and intricate negotiations, increasing the likelihood of unsuccessful outcomes.

Adverse real estate market cycles diminish the valuation of underlying real estate collateral. Real asset investments are long-term with limited marketability.

Significant interim dividends have been paid of Rs 17 per equity share and another Rs 15 in FY2026 and Rs 9.50 in Q1FY27 against nil in FY25 and FY24. There can be no assurance that similar dividends will be paid in the future.

There is intense competition in the alternative asset management sector from domestic and global players, including institutional funds with greater capital and liquidity.

Foreign clients contributed 33.80% of total AUM and changes in global investor sentiment toward India or foreign market downturns can directly impact this AUM.

Investment returns and fundraising depend heavily on key individuals (fund managers, deal originators, risk officers).

There are claw-back or contingent repayment obligations under certain fund agreements, which may require repaying up to 100% of the Variable Additional Return earned from the relevant fund due to litigation, indemnity claims, adverse tax assessments, calculation errors or end-of-fund-life IRR recalculations.

Valuation

EAAA India Alternatives has delivered healthy financial performance with net profit rising at a CAGR of 23% from Rs 175.16 crore in FY2024 to Rs 265.20 crore in FY2026. Revenue from operations grew at 2-year CAGR of 33%, driven by healthy growth in FPAUM. The operating profit margins improved to 37.2%, and RoE was 26% for FY26.

The EPS on post-issue equity for TTM ended June 2026 works out to Rs 46.1. At the price band of Rs 1585 to Rs 1665, P/E works out to 34.4-36.1 times of EPS for TTM ended June 2026. Post IPO M-cap is Rs 10765 crore at upper price band.

In March 2026, the promoter group entity Edelweiss Investment Adviser divested 4.4% stake in the company through secondary market transaction at Rs 1322 per share to institutional buyers, HNIs and existing limited partners. The IPO price of Rs 1665, implies premium of 26% over March 2026 transaction price at Rs 1322.

The recently listed Gaja Alternative Asset Management, a pure-play Private Equity & Alternative Investment Fund (AIF) manager, is trading at PE of 20.2 times of EPS for TTM ended June 2026 with M-cap at Rs 1747 crore. Gaja has much smaller AUM, revenue (Rs 136 crore for FY26), PAT (Rs 80 crore) base and ROE (16.5%). Gaja?s share price dropped 22% from IPO price of Rs 160 in August 2026.

Among peer AMCs in the traditional mutual funds space, Nippon Life India Asset Management is trading at PE of 38.2 times its EPS for TTM ended June 2026, ICICI Prudential Asset Management Company at 38.7 times, HDFC Asset Management Company at 33.1 times, SBI Funds Management at 31.5 times and Aditya Birla Sun Life AMC at 25.9 times. These AMCs have reported strong RoEs of 25-86% for FY26.

In the wealth management space, 360 One WAM is trading at 33.8 times, Anand Rathi Wealth at 79.4 times and Nuvama Wealth Management at 28.4 times.

EAAA India Alternatives is priced around leading AMC in the mutual fund space based on the scale of its alternative investment platform, growth in fee-paying AUM, recurring management-fee income and potential performance-linked income. However, variable investment returns (30% of revenues), key-person risk, claw-back obligations and the possibility of regulatory or credit-related losses can make earnings less predictable than those of traditional asset managers.
