Zen Technologies board approves acquisition of majority stake in Cogknit Semantics

At meeting held on 17 October 2026

The board of Zen Technologies at its meeting held on 17 October 2026 has approved the acquisition by the Company of a 51.98% stake, on a fully diluted basis, in Cogknit Semantics, for an aggregate cash consideration not exceeding Rs. 135.15 crore.

The acquisition extends the Company's defence portfolio into battlefield management systems. The Target Company is a developer of indigenous, AI-enabled battlefield management and situational-awareness systems. Its capability complements the Company's defence training, simulation and anti-drone businesses. The Target Company's business is in the defence sector, which is within the Company's main line of business.
